Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and GymSpaces Limited ("GymSpaces", "we", "us", or "our"), a company incorporated in New Zealand. They govern your access to and use of the GymSpaces mobile application and related services (the "Service") on iOS, Android, Wear OS, and Apple Watch. Please read them carefully.

1. Acceptance of Terms

By downloading, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, do not use the Service. We may ask you to confirm your acceptance when you create an account or when these Terms are updated.

2. Eligibility

You must be at least 13 years old to use the Service. By using GymSpaces, you represent and warrant that you meet this minimum age requirement and that you have the legal capacity to enter into these Terms. If you are under the age of majority in your jurisdiction, you confirm that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Your Account

To use most features of the Service you must create an account. You are responsible for:

• Providing accurate and current account information.
• Keeping your login credentials confidential and secure.
• All activity that occurs under your account, whether or not authorized by you.

Notify us promptly at gymspacesapp@gmail.com if you suspect any unauthorized use of your account or any other breach of security. We are not liable for any loss arising from your failure to keep your credentials secure.

4. Acceptable Use

You agree not to, and not to attempt to:

• Use the Service for any unlawful, fraudulent, or harmful purpose.
• Harass, abuse, threaten, or harm other users, including within private Circles.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent permitted by law.
• Scrape, harvest, or collect data from the Service using automated means without our written permission.
• Disrupt, overload, or interfere with the Service, its servers, or other users' use of the Service.
• Upload or distribute malware, or attempt to gain unauthorized access to any system or account.
• Misrepresent your identity or impersonate any person or entity.

5. Subscriptions & Payments

A free tier of GymSpaces is available. GymSpaces Pro is coming soon. When GymSpaces Pro launches, paid subscriptions will be offered and billed through the Apple App Store or Google Play (subscription billing managed via RevenueCat), subject to the terms and policies of those platforms.

No prices, plans, or specific subscription terms are committed in this document. Pricing and the details of any paid features will be presented to you at the point of purchase, where you can review them before subscribing. Subscriptions purchased through an app store are managed through your app store account, including renewal and cancellation, in accordance with that platform's rules.

6. User Content

"User Content" means anything you create, upload, or share through the Service, including programs, workout logs, nutrition entries, and posts you share within Circles. You retain ownership of your User Content.

By submitting User Content, you grant GymSpaces a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content solely as needed to operate, maintain, and provide the Service to you and to the other members of any Circle you choose to share it with. This license ends when you delete the relevant content or your account, except for content already shared with others or retained as required by law or for legitimate backup purposes.

You are solely responsible for the User Content you create and for what you choose to share within Circles. You represent that you have the rights necessary to share your User Content and that it does not violate these Terms or any applicable law or third-party rights.

7. Intellectual Property

The Service, including the GymSpaces app, its software, design, branding, logos, trademarks, and all content we provide (excluding your User Content), is owned by GymSpaces Limited or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you in these Terms, no rights are transferred to you. You may not use our branding or trademarks without our prior written permission.

8. Health & Fitness Disclaimer

GymSpaces provides general fitness and nutrition information and tools. It does not provide medical advice and is not a substitute for professional medical care.

The training programs, tracking features, nutrition tools, recovery guidance, and any calculations or recommendations within the Service are based on rules and established sports-science formulas, and are provided for general informational purposes only. They are not tailored medical advice and do not account for your individual health conditions.

Always consult a qualified healthcare professional or physician before beginning any exercise or nutrition program, changing your routine, or relying on any information provided through the Service, particularly if you have a medical condition, are injured, are pregnant, or have any concerns about your health. You use the Service and engage in any physical activity or dietary changes entirely at your own risk. If you experience pain, discomfort, or any medical emergency, stop immediately and seek professional help.

9. Third-Party Services

The Service relies on third-party services to function, including:

• Firebase (Google) — for authentication, data storage, and backend infrastructure.
• FatSecret — which powers our food and nutrition database.
• The Apple App Store and Google Play platforms — for distribution and, when available, subscription billing.

Your use of these third-party services is also subject to their respective terms and privacy policies. We are not responsible for the practices, availability, or content of third-party services, and their inclusion does not imply our endorsement of them.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any data or recommendations will be accurate or complete. Some jurisdictions, including New Zealand under the Consumer Guarantees Act 1993, may grant you rights that cannot be excluded; nothing in these Terms limits those non-excludable rights.

11. Limitation of Liability

To the extent permitted by law, GymSpaces Limited and its directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service. To the extent our liability cannot be excluded but may be limited, our total liability is limited to the amount you paid us (if any) for the Service in the twelve months preceding the claim.

12. Termination

We may suspend or terminate your access to the Service, in whole or in part, if you breach these Terms, if required by law, or if we reasonably consider it necessary to protect the Service or other users. Where practicable, we will give you notice.

You may stop using the Service and delete your account at any time from within the app. Deleting your account removes your associated data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, and limitation of liability — will continue to apply.

13. Governing Law

These Terms are governed by the laws of New Zealand, and you submit to the non-exclusive jurisdiction of the courts of New Zealand for any dispute arising out of or relating to these Terms or the Service, without affecting any mandatory consumer protections available to you under the law of your place of residence.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you within the app. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Service.
