Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and GymSpaces Limited ("GymSpaces", "we", "us", or "our"), a company incorporated in New Zealand. They govern your access to and use of the GymSpaces mobile application and related services (the "Service") on iOS, Android, Wear OS, and Apple Watch. Please read them carefully.

1. Acceptance of Terms

By downloading, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, do not use the Service. We may ask you to confirm your acceptance when you create an account or when these Terms are updated.

2. Eligibility

You must be at least 18 years old to use the Service. During onboarding you must truthfully provide your date of birth so that GymSpaces can determine whether you meet this minimum. This is a self-declaration, not an identity-verification service. If you are under 18, you may not use the Service. By using GymSpaces, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

3. Your Account

To use most features of the Service you must create an account. You are responsible for:

• Providing accurate and current account information.
• Keeping your login credentials confidential and secure.
• All activity that occurs under your account, whether or not authorized by you.

Notify us promptly at gymspacesapp@gmail.com if you suspect any unauthorized use of your account or any other breach of security. We are not liable for any loss arising from your failure to keep your credentials secure.

4. Acceptable Use

You agree not to, and not to attempt to:

• Use the Service for any unlawful, fraudulent, or harmful purpose.
• Harass, abuse, threaten, or harm any person.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent permitted by law.
• Scrape, harvest, or collect data from the Service using automated means without our written permission.
• Disrupt, overload, or interfere with the Service, its servers, or other users' use of the Service.
• Upload or distribute malware, or attempt to gain unauthorized access to any system or account.
• Misrepresent your identity or impersonate any person or entity.

5. Subscriptions & Payments

GymSpaces is free to use. The free tier includes workout and nutrition logging and is not a trial. GymSpaces Pro is an optional paid subscription that unlocks additional features, offered as a monthly or an annual plan.

Subscriptions are sold and billed through the Apple App Store or Google Play, with subscription management provided by RevenueCat, and are subject to the terms and policies of the platform you purchase through. The current price of each plan, in your local currency, is shown on the purchase screen before you confirm. Payment is charged to your App Store or Google Play account when you confirm the purchase.

Automatic renewal

Subscriptions renew automatically. Unless you cancel at least 24 hours before the end of the current period, your subscription renews and your account is charged the then-current price for a further period of the same length. Renewal charges are applied within the 24 hours before the current period ends.

Free trials

Where a free trial is offered, it requires a valid payment method and converts automatically into a paid subscription when the trial ends, unless you cancel at least 24 hours before the end of the trial period. Any unused portion of a free trial is forfeited if you purchase a subscription before the trial period ends. Free trials may be limited to one per person or per store account, and may not be available in every region.

Managing and cancelling

You can view, manage, or cancel your subscription at any time in your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period, and you keep Pro access until then. Uninstalling the app does not cancel a subscription, and we are not able to cancel a store-billed subscription on your behalf.

Deleting your GymSpaces account is separate from cancelling a subscription and does not stop store billing. Account deletion removes your app access and data immediately, and it does not request or provide a refund for remaining subscription time. Cancel through the store before deleting if you do not want the subscription to renew.

Refunds

For an Apple-billed purchase, request a refund from Apple; GymSpaces cannot issue an Apple App Store refund. For a Google Play purchase, start with Google Play's refund process. You may contact GymSpaces if Google directs you to the developer or if a purchase was not delivered. Any request is reviewed under the applicable platform rules and law, and eligibility is not guaranteed. Nothing in this section limits any rights you have that cannot be excluded by law, including under the New Zealand Consumer Guarantees Act 1993.

Price changes

We may change subscription prices. A change applies only from your next renewal and never to a period you have already paid for. Where required, we or the platform will notify you in advance and give you the opportunity to cancel before the new price takes effect.

If your subscription ends

If your subscription lapses or you cancel, your account reverts to the free tier. Your logged data is not deleted and is not locked behind the subscription — your training and nutrition history remains available to you, and Pro-only features simply stop being available.

6. User Content

"User Content" means information you create or upload through the Service, including programs, workout logs, nutrition entries, goals, and profile information. You retain ownership of your User Content.

By submitting User Content, you grant GymSpaces a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content solely as needed to operate, maintain, and provide the Service to you. This license ends when you delete the relevant content or your account, except where retention is required by law or for legitimate backup purposes.

You are solely responsible for the User Content you create. You represent that you have the rights necessary to submit it and that it does not violate these Terms or any applicable law or third-party rights.

7. Intellectual Property

The Service, including the GymSpaces app, its software, design, branding, logos, trademarks, and all content we provide (excluding your User Content), is owned by GymSpaces Limited or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you in these Terms, no rights are transferred to you. You may not use our branding or trademarks without our prior written permission.

8. Health & Fitness Disclaimer

GymSpaces provides general fitness and nutrition information and tools. It does not provide medical advice and is not a substitute for professional medical care.

The training programs, tracking features, nutrition tools, recovery guidance, and any calculations or recommendations within the Service are based on rules and established sports-science formulas, and are provided for general informational purposes only. They are not tailored medical advice and do not account for your individual health conditions.

Always consult a qualified healthcare professional or physician before beginning any exercise or nutrition program, changing your routine, or relying on any information provided through the Service, particularly if you have a medical condition, are injured, are pregnant, or have any concerns about your health. You use the Service and engage in any physical activity or dietary changes entirely at your own risk. If you experience pain, discomfort, or any medical emergency, stop immediately and seek professional help.

9. Third-Party Services

The Service relies on third-party services to function, including:

• Firebase (Google) — for authentication, data storage, and backend infrastructure.
• FatSecret — which powers our food and nutrition database.
• The Apple App Store and Google Play platforms — for distribution and, when available, subscription billing.

Your use of these third-party services is also subject to their respective terms and privacy policies. We are not responsible for the practices, availability, or content of third-party services, and their inclusion does not imply our endorsement of them.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any data or recommendations will be accurate or complete. Some jurisdictions, including New Zealand under the Consumer Guarantees Act 1993, may grant you rights that cannot be excluded; nothing in these Terms limits those non-excludable rights.

11. Limitation of Liability

To the extent permitted by law, GymSpaces Limited and its directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service. To the extent our liability cannot be excluded but may be limited, our total liability is limited to the amount you paid us (if any) for the Service in the twelve months preceding the claim.

12. Termination

We may suspend or terminate your access to the Service, in whole or in part, if you breach these Terms, if required by law, or if we reasonably consider it necessary to protect the Service or other users. Where practicable, we will give you notice.

You may stop using the Service and delete your account at any time from within the app. Deleting your account removes your associated data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, and limitation of liability — will continue to apply.

13. Governing Law

These Terms are governed by the laws of New Zealand, and you submit to the non-exclusive jurisdiction of the courts of New Zealand for any dispute arising out of or relating to these Terms or the Service, without affecting any mandatory consumer protections available to you under the law of your place of residence.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you within the app. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Service.
